BUSINESS CONCEPT

Morrison Mining, Inc. is a development-stage mining and materials company founded by Josh Morrison to explore, develop and process mineral resources from properties where he reports owning mineral rights.

The company’s initial geographic focus is South-Central Idaho, Northwestern Utah and Northeastern Nevada. Morrison Mining intends to conduct further exploration and evaluation of its targeted mineral-rights properties, develop its own mining operations and establish a centrally located processing facility capable of processing material produced from the company’s mines.

Its primary objective is to control its operations from exploration and extraction through processing and the potential sale of recovered minerals and usable rock materials.

Subject to testing, feasibility, permitting and market demand, rock generated through the company’s mining and processing operations may also be sold for aggregate, landscaping, construction or other commercial applications.

Before presenting the mineral rights as company-owned assets, Josh Morrison should provide documentation showing ownership and determine whether those rights will be assigned, contributed or licensed to Morrison Mining, Inc.

THE PROJECT OPPORTUNITY

Morrison Mining intends to develop an integrated mining operation covering multiple stages of the resource-development process:

• Exploration and evaluation of mineral-rights properties
• Geological mapping, sampling and testing
• Mine planning and development
• Extraction of mineral-bearing material
• Transportation to a strategically located processing facility
• Crushing, sorting and processing
• Recovery of precious metals and commercially valuable minerals
• Evaluation and sale of eligible rock and aggregate materials
• Expansion across the company’s targeted regional properties

By developing its own mining properties and processing infrastructure, Morrison Mining intends to retain greater control over material supply, operating schedules, recovery methods and potential revenue opportunities.

The proposed business model remains subject to confirmation of mineral-right ownership, geological findings, technical feasibility, permits, financing and successful development.

STRATEGIC LOCATION

Morrison Mining is evaluating a regional processing facility positioned to support its targeted properties across:

The final facility location will depend on several factors, including:

• Proximity to the company’s mineral properties
• Geological and metallurgical test results
• Transportation and road access
• Power and water availability
• Land-use and zoning requirements
• Environmental and mining regulations
• Equipment and construction costs
• Availability of qualified personnel
• Overall project economics

PROPOSED PHASE ONE:
$1 MILLION RAISE

• Verification and documentation of mineral-right ownership
• Geological review, mapping and field evaluation
• Sampling, drilling and laboratory testing
• Mineral and metallurgical analysis
• Technical and commercial feasibility studies
• Preliminary mine planning
• Environmental and regulatory assessment
• Identification and evaluation of a processing-facility site
• Preliminary engineering and facility design
• Processing-equipment research and vendor negotiations
• Evaluation of crushing, sorting and recovery systems
• Testing rock for aggregate and landscaping applications
• Transportation and logistics planning
• Legal, accounting and offering expenses
• Company development and working capital

PROPOSED PHASE TWO:
UP TO $25 MILLION

• Additional exploration and drilling
• Geological and engineering studies
• Mine planning and site development
• Mining and excavation equipment
• Acquisition or development of the processing site
• Commercial crushing and processing equipment
• Mineral-separation and recovery systems
• Facility construction and infrastructure
• Environmental, mining and operating permits
• Laboratory and material-testing systems
• Transportation and material-handling equipment
• Water, power and utility infrastructure
• Recruitment and training of personnel
• Initial mining and processing operations
• Operating capital
• Exploration of additional company-controlled properties
• Development of future mining and processing locations

PRECIOUS-METAL AND MINERAL SALES

The company may generate revenue through the recovery and sale of precious metals and commercially valuable minerals extracted from its mining properties.

AGGREGATE AND CONSTRUCTION MATERIALS

Rock generated through mining, excavation and processing may be evaluated for use as aggregate, road base, fill or other construction materials.

LANDSCAPING MATERIALS

Eligible rock may be sorted, processed and sold for landscaping, decorative stone or related commercial uses.

MINING AND PROCESSING OPERATIONS

If the company successfully develops its properties and processing facility, Morrison Mining may generate revenue through the integrated extraction, processing and sale of its own mineral and material products.

FUTURE PROPERTY DEVELOPMENT

Following successful development of its initial properties, Morrison Mining may explore additional mineral-right acquisitions, leases, partnerships or development opportunities within the region.

LONG-TERM VISION
Morrison Mining’s long-term vision is to build an integrated mining and materials company that explores and develops its own mineral properties, processes its own mineral-bearing material and creates multiple potential products from each operation. The company intends to begin with properties associated with Josh Morrison’s mineral rights in South-Central Idaho, Northwestern Utah and Northeastern Nevada. Subject to successful exploration, financing, permitting and development, Morrison Mining plans to establish a strategically located processing facility, recover commercially valuable minerals, sell eligible rock and aggregate products, and expand into additional properties and operating regions.
